Terms of Service

1. Acceptance of terms

These Terms of Service ("Terms") govern your access to and use of the SSPS CloudNex website and any proposal, statement of work or service agreement referencing them. By using this website or engaging SSPS CloudNex for services, you agree to be bound by these Terms. If you're accepting on behalf of a company, you confirm you have the authority to do so.

2. Services

Specific deliverables, timelines and fees for any engagement are defined in a separate signed proposal or statement of work ("SOW"). Where these Terms and a signed SOW conflict, the SOW governs for that engagement.

3. Client responsibilities

• Provide timely feedback, access and materials needed to keep a project on schedule.
• Ensure you have the rights to any content, data or assets you provide to us.
• Designate a single point of contact authorized to approve scope and sign-offs.

4. Intellectual property

Unless otherwise agreed in a SOW, ownership of custom deliverables transfers to the client upon full payment. SSPS CloudNex retains ownership of pre-existing tools, frameworks and internal libraries used to build those deliverables, and grants the client a perpetual license to use them as part of the delivered product.

5. Payment terms

Invoices are due within 15 days of receipt unless otherwise stated in a SOW. Work may be paused on accounts more than 30 days past due, and late payments may accrue interest as permitted by applicable law.

6. Confidentiality

Both parties agree to keep confidential information disclosed during an engagement private, and to use it only for the purposes of that engagement, for a period of three years after the engagement ends.

7. Limitation of liability

To the maximum extent permitted by law, SSPS CloudNex's total liability arising from any engagement will not exceed the fees paid for the specific deliverable giving rise to the claim. Neither party is liable for indirect, incidental or consequential damages.

8. Termination

Either party may terminate an active SOW with 30 days' written notice. The client remains responsible for fees on work completed up to the termination date.

9. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Disputes will be subject to the exclusive jurisdiction of the courts of Pune, Maharashtra.

10. Changes to these terms

We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date above. Continued use of the website after changes take effect constitutes acceptance of the revised Terms.
